Our Terms

CIYASH TECHNOLOGIES PVT LTD

These Terms and Conditions govern the provision of software services, including but not limited to web designing, web development, app development, digital marketing, CRM applications, and real estate applications, by CIYASH TECHNOLOGIES PVT LTD ("Company") to its clients ("Client"). By engaging our services, the Client agrees to the following terms:

    1. Services

  • 1.1. The Company agrees to provide the software services specified in the proposal, including web designing, web development, app development, digital marketing, CRM applications, and real estate applications.
  • 1.2. The scope of work, deliverables, timelines, and fees will be detailed in a separate agreement or proposal document.

  • 2. Client Obligations

  • 2.1. The Client shall provide all necessary information, materials, and access to resources required for the Company to perform the services.
  • 2.2. The Client agrees to cooperate with the Company in a timely and efficient manner.

    • 3. Payment Terms

  • 3.1. Fees for services will be detailed in the proposal or agreement and are payable according to the specified payment schedule.
  • 3.2. Invoices are due within [Insert Number] days of issuance. Late payments may incur interest charges at a rate of 5% per year.
  • 3.3. All payments are non-refundable, except as expressly provided in the agreement.

    • 4. Intellectual Property

  • 4.1. The Company retains ownership of all intellectual property rights in any pre-existing materials, tools, or software used or developed during the course of the project.
  • 4.2. The Client shall have a non-exclusive, non-transferable license to use the deliverables solely for their intended purpose.
  • 4.3. Any custom software or applications developed for the Client will be owned by the Client upon full payment of all fees.

  • 5. Confidentiality

  • 5.1. Both parties agree to keep all confidential information shared during the course of the project strictly confidential.
  • 5.2. Confidential information shall not include information that is publicly available, independently developed, or required to be disclosed by law.

  • 6. Liability

  • 6.1. The Company shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the services provided.
  • 6.2. The Company's total liability under this agreement shall not exceed the total fees paid by the Client for the services.

  • 7. Termination

  • 7.1. Either party may terminate this agreement with 90 days' written notice if the other party breaches any material term and fails to cure such breach within 180 days.
  • 7.2. Upon termination, the Client shall pay for all services rendered up to the date of termination.

  • 8. Governing Law and Jurisdiction

  • 8.1. These terms and conditions shall be governed by and construed in accordance with the laws of the State of Telangana, India.
  • 8.2. Any disputes arising out of or related to these terms and conditions shall be subject to the exclusive jurisdiction of the courts in Telangana.

  • 9. Miscellaneous

  • 9.1. These terms and conditions, together with the proposal or agreement, constitute the entire agreement between the parties and supersede all prior understandings.
  • 9.2. No amendment or modification of these terms shall be valid unless made in writing and signed by both parties.
  • 9.3. If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
